While in Vienna as a NCURA Fellow, I was told that a very high number of American institutions withdrew from a FUNDED EU award when it was time to sign a contract. We discussed the potential reason for this and we hypothesized that it may be due to the laws that would rule the subaward. American public institutions are confined to sign contracts only that recognize their specific states as the governing body of the subaward. So this is a big issue legally. If you want to stay silent on this matter in the subaward then you will also need to address how disputes will be resolved (maybe international arbitration?).
In any case , governance under the subaward is a big deal;maybe we can survey successful EU-US collaborations to see how the agreements were worded.
