However, if you are a foreign entity and a subrecipient where a U.S. institution is the prime, jurisdiction will usually be in the state where the prime is located. For many public institutions of higher education state jurisdiction cannot be waived. However, state institutions may allow the jurisdiction clause to remain silent for both parties.
